BIOLOGICAL MATERIAL TRANSFER AND RESEARCH AGREEMENT

PREAMBLE
This Biological Material Transfer and Research Agreement (“Agreement”) governs the collection, ownership, use, and disposition of biological materials obtained from the undersigned individual (“Donor”) during enhancement procedures performed by Unzyme Laboratories Corporation (“Unzyme Laboratories”).
ARTICLE I: DEFINITIONS
1.1 “Biological Materials” means:
a) Tissue, organs, or organ components removed during enhancement procedures b) Blood, fluids, and other bodily samples collected for diagnostic purposes c) Cells, cell lines, and cellular derivatives obtained from the Donor d) Genetic material (DNA, RNA) extracted from any of the above e) Any biological substance originating from the Donor’s body
1.2 “Derivatives” means:
a) Cell lines established from Donor’s Biological Materials b) Genetic sequences derived from Donor’s materials c) Data generated through analysis of Donor’s materials d) Products developed using Donor’s materials as research inputs e) Synthetic constructs based on Donor’s biological information
1.3 “Research Purposes” means:
a) Scientific research and investigation b) Product development and improvement c) Safety and efficacy studies d) Quality control and assurance e) Commercial development activities
ARTICLE II: TRANSFER OF OWNERSHIP
2.1 Grant of Ownership
Upon removal from Donor’s body, all Biological Materials become the exclusive property of Unzyme Laboratories. This transfer is absolute, irrevocable, and perpetual.
2.2 Scope of Transfer
The ownership transfer includes all rights to: a) Possess and store the Biological Materials indefinitely b) Analyze, study, and characterize the materials c) Create Derivatives from the materials d) Patent inventions derived from the materials e) Commercialize products developed using the materials f) Transfer, sell, or license the materials to third parties
2.3 Donor’s Retained Rights
Donor retains no property rights in Biological Materials after removal. Donor may not: a) Request return of Biological Materials b) Direct disposition of Biological Materials c) Restrict use of Biological Materials d) Claim ownership of Derivatives e) Share in revenues from commercial applications
ARTICLE III: PERMITTED USES
3.1 Research Authorization
Donor authorizes Unzyme Laboratories to use Biological Materials for any Research Purpose without limitation, including:
a) Enhancement Research: Development of new enhancement products and improvement of existing products
b) Basic Science: Fundamental research into human biology, genetics, and physiology
c) Clinical Studies: Use in studies evaluating enhancement safety and efficacy
d) Commercial Development: Creation of products and services for commercial distribution
e) Collaborative Research: Sharing with academic, governmental, or commercial partners
3.2 No Limitations
Donor does not impose any limitations on research use, including:
- No restrictions on genetic research or sequencing
- No restrictions on reproductive or cloning research
- No restrictions on consciousness or neural research
- No restrictions on military or defense applications
- No restrictions on creating biological constructs or organisms
3.3 Immortalized Cell Lines
If Unzyme Laboratories creates immortalized cell lines from Donor’s materials, such cell lines become permanent Unzyme Laboratories property and may be used, distributed, and commercialized without limitation or compensation to Donor.
ARTICLE IV: DATA AND GENETIC INFORMATION
4.1 Genetic Sequencing
Unzyme Laboratories may sequence Donor’s complete genome and retain, analyze, and use this information indefinitely.
4.2 Data Ownership
All data derived from Donor’s Biological Materials, including genetic sequences, becomes Unzyme Laboratories property.
4.3 Research Databases
Donor’s genetic and biological data may be included in research databases, shared with research partners, and used for aggregate analyses without individual notification.
4.4 Re-Identification
Donor acknowledges that despite de-identification efforts, genetic information is inherently personally identifiable and may be re-identifiable.
ARTICLE V: COMPENSATION AND BENEFITS
5.1 No Compensation
Donor will receive no compensation for Biological Materials, Derivatives, data, or any commercial applications thereof.
5.2 No Future Claims
Donor waives all claims to royalties, licensing fees, profit sharing, or any other compensation related to commercial use of Biological Materials or Derivatives, regardless of commercial success.
5.3 Consideration
Donor acknowledges that the enhancement services provided constitute full and adequate consideration for this transfer.
ARTICLE VI: CONFIDENTIALITY AND PUBLICATION
6.1 Publication Rights
Unzyme Laboratories may publish research results derived from Donor’s materials without Donor’s prior approval or review.
6.2 Anonymization
Publications will not directly identify Donor, though complete anonymization cannot be guaranteed for genetic data.
6.3 Donor’s Confidentiality Obligations
Donor agrees not to disclose confidential information about Unzyme Laboratories’ research programs learned through participation in enhancement procedures.
ARTICLE VII: DURATION AND TERMINATION
7.1 Perpetual Grant
This Agreement grants perpetual rights. There is no termination provision for research authorization.
7.2 Survival
All grants and waivers in this Agreement survive:
- Termination of any other agreement with Unzyme Laboratories
- Death of the Donor
- Donor’s withdrawal from enhancement programs
7.3 Post-Mortem
Upon Donor’s death, this Agreement remains binding on Donor’s estate, heirs, and assigns.
ARTICLE VIII: REPRESENTATIONS AND WARRANTIES
8.1 Donor Represents:
a) Donor has legal authority to make this grant b) Donor has not granted conflicting rights to third parties c) Donor understands the nature and scope of this Agreement d) Donor is providing Biological Materials voluntarily
8.2 No Warranties by Unzyme Laboratories
Unzyme Laboratories makes no representations regarding how Biological Materials will be used or what research will be conducted.
ACKNOWLEDGMENT
I HAVE READ AND UNDERSTAND THIS AGREEMENT. I UNDERSTAND THAT I AM TRANSFERRING OWNERSHIP OF MY BIOLOGICAL MATERIALS TO UNZYME LABORATORIES AND THAT THIS TRANSFER IS PERMANENT AND IRREVOCABLE.
I UNDERSTAND THAT UNZYME LABORATORIES MAY PROFIT FROM PRODUCTS DEVELOPED FROM MY BIOLOGICAL MATERIALS AND THAT I WILL RECEIVE NO COMPENSATION.
I VOLUNTARILY CONSENT TO THIS TRANSFER.
